90-Day Money-Back Guarantee Policy

1. Our 90-Day Promise

At Baritex AI Operating System Ltd (“Baritex”, “we”, “us”, or “our”), we believe professional consulting should provide meaningful, practical, and personalized value.

We therefore offer a 90-Day Money-Back Guarantee for eligible clients who genuinely participate in our 1:1 Career Consultation or 1:1 Business Consultation and reasonably determine that the consulting service did not provide sufficient value for the price paid.

An eligible client may request a refund within 90 calendar days of the applicable purchase or engagement date, subject to the terms of this Policy.

This is a value-based satisfaction guarantee, not a guarantee of any particular business, financial, employment, salary, revenue, funding, or other real-world result.

2. Consulting Services Covered

This Guarantee applies to the following services:

1:1 Career Consultation

A personalized, one-on-one consulting engagement addressing the client's career goals, professional circumstances, challenges, decisions, and agreed requirements.

Depending on the agreed scope, the consultation may address career direction, professional positioning, career transitions, job search strategy, skills development, career progression, or other relevant career objectives.

1:1 Business Consultation

A personalized, one-on-one consulting engagement addressing the client's business objectives, challenges, opportunities, strategy, and agreed requirements.

Depending on the agreed scope, the consultation may address business strategy, business models, positioning, growth, market opportunities, operations, partnerships, pricing, or other relevant business objectives.

Each consultation is customized according to the client's requirements and the agreed scope of work.

The Guarantee does not automatically apply to other Baritex products, subscriptions, professional services, or engagements unless expressly stated at the time of purchase.

3. Consultation Format and Packages

Individual consultations are conducted as 60-minute one-on-one sessions.

Career Consultation

• Single session: $80
• 3-session package: $204 — 15% discount
• 5-session package: $320 — 20% discount

Business Consultation

• Single session: $120
• 3-session package: $306 — 15% discount
• 5-session package: $480 — 20% discount

Multi-session packages are valid for 90 calendar days from the date of purchase, unless otherwise agreed in writing. Unused sessions do not automatically roll over beyond the applicable package validity period.

4. What the Consultation May Include

Because each engagement is customized, the specific services and deliverables may vary according to the client's requirements and agreed scope.

Depending on the nature of the engagement, a consultation may include:

• one-on-one professional guidance;
• assessment and discussion of the client's circumstances;
• strategic analysis;
• identification of opportunities, risks, gaps, or priorities;
• practical recommendations;
• action points or next steps;
• career or business planning;
• relevant research or analysis where appropriate;
• frameworks, resources, or reference materials;
• follow-up recommendations; and
• other consulting support agreed as part of the engagement.

Baritex does not guarantee that every consultation will include a separate written report or other specific deliverable unless such deliverable has been expressly agreed as part of the engagement.

5. Who Qualifies?

To qualify for the Guarantee, the client must:

1. Be the original purchaser of the consulting service.
2. Submit the refund request within 90 calendar days of the applicable purchase or engagement date.
3. Have genuinely participated in the consultation or consultation sessions included in the engagement.
4. Have provided reasonably accurate and relevant information necessary for the consultant to understand the client's circumstances and provide the agreed service.
5. Have engaged with the consultation in good faith.
6. Have had a reasonable opportunity to review and consider the advice, recommendations, analysis, or deliverables provided.
7. Provide a brief and truthful explanation of why the client believes the consulting service did not provide reasonable value.

The client is not required to implement every recommendation or achieve a particular business or career outcome to request a refund.

However, the Guarantee is intended for clients who genuinely engage with the service. A client who deliberately prevents the consultant from providing the agreed service, repeatedly fails to participate, or otherwise acts in bad faith may not qualify.

6. What Constitutes Reasonable Value?

The value of a consulting engagement may differ depending on the client's circumstances, objectives, and agreed scope.

Value may include:

• professional insight and expertise;
• personalized analysis;
• strategic guidance;
• practical recommendations;
• decision support;
• identification of opportunities, risks, gaps, or priorities;
• action plans or strategic roadmaps;
• customized research or analysis where included in the agreed scope;
• clarification of business or career decisions;
• practical frameworks and next steps; and
• other advice or deliverables expressly agreed as part of the engagement.

Baritex will assess the value of the service based primarily on the agreed scope and the services actually delivered, rather than solely on whether the client achieved a desired external result.

7. No Guarantee of External Results

The Guarantee does not mean that Baritex or its consultants guarantee that a client will:

• increase revenue or profitability;
• acquire customers;
• raise funding or investment;
• launch or operate a successful business;
• secure a particular contract or partnership;
• obtain employment or an interview;
• receive a promotion or salary increase;
• secure a particular position;
• achieve a particular business or career milestone; and
• achieve any other specific financial, professional, business, or personal outcome.

Our consultants provide professional guidance, strategic advice, analysis, and decision support based on the information available during the engagement.

Actual results may depend on factors outside Baritex's control, including the client's decisions and execution, market conditions, competition, employer or third-party decisions, economic conditions, timing, regulatory requirements, and other circumstances.

Failure to achieve a desired outcome does not, by itself, mean that the consulting service failed to provide reasonable value.

8. Cancellation and Rescheduling

Clients should provide at least 24 hours' notice when requesting to cancel or reschedule a scheduled consultation.

Where sufficient notice is provided, Baritex will make reasonable efforts to accommodate one rescheduled appointment, subject to consultant availability.

A cancellation made with less than 24 hours' notice, or failure to attend a scheduled session, may result in the session being treated as used and non-refundable, because the consultant's time was reserved specifically for the client.

Baritex may make reasonable exceptions in circumstances beyond the client's control.

Where Baritex needs to cancel or reschedule a consultation, the client will be offered a reasonable opportunity to reschedule without losing the applicable session.

9. Package Consultations and Refunds

The 90-Day Guarantee applies to multi-session packages as a consulting engagement.

If a client requests a refund after one or more sessions have been delivered, Baritex may calculate the eligible refund based on the value of the services already delivered and the remaining unused portion of the package.

Accordingly, Baritex may:

• approve a full refund where no substantive service has been delivered and the circumstances otherwise qualify;
• approve a partial refund for eligible unused services; or
• decline the refund where the agreed consulting service has been substantially delivered or the circumstances otherwise fall outside this Guarantee.

Completed sessions will not be treated as though they were never provided.

Where a package is refunded, any remaining sessions, access, support, or benefits associated with that package will cease.

10. When the Guarantee Does Not Apply

The Guarantee may be denied where:

• the request is submitted after the 90-day period;
• the client is not the original purchaser;
• the service was obtained through fraud, unauthorized access, resale, or other improper means;
• the client materially breaches Baritex's Terms of Use or applicable consulting agreement;
• the client deliberately provides materially false or misleading information;
• the client refuses to reasonably participate in the consultation;
• the client withholds material information necessary to provide the agreed service;
• the client repeatedly purchases substantially similar services and requests refunds in a pattern that reasonably indicates abuse;
• the client has already received a refund, credit, or other remedy for the same or substantially similar service;
• the client seeks a refund solely because they changed their mind after receiving the service;
• the client seeks a refund solely because they did not implement recommendations provided by the consultant;
• the client seeks a refund solely because they disagreed with professional advice that was reasonably within the agreed scope; or
• the request is based solely on failure to achieve a specific business, financial, employment, salary, investment, or other external outcome.

Baritex reserves the right to refuse requests that it reasonably determines constitute fraudulent, abusive, or bad-faith use of the Guarantee.

11. How to Request a Refund

To request a refund under this Guarantee, contact Baritex through our official customer support channel within 90 days of the applicable purchase or engagement date.

Please provide:

• your name;
• the email address associated with the consultation;
• the consulting service purchased;
• your purchase, invoice, or booking reference, where available; and
• a brief and truthful explanation of why you believe the consultation did not provide reasonable value.

Baritex may request reasonable additional information necessary to assess the request.

We aim to communicate our initial decision within 10 business days after receiving the information reasonably required to complete our review.

12. Refund Review and Reconsideration

A refund request does not automatically result in a refund.

Baritex will review eligible requests in good faith, taking into account:

• the agreed scope of the engagement;
• services and sessions delivered;
• the client's participation;
• advice, recommendations, analysis, or deliverables provided;
• the circumstances surrounding the request; and
• any other information reasonably relevant to the assessment.

If a refund request is declined, the client may request one reconsideration within 14 days of the decision by providing any additional information they believe is relevant.

Baritex will review the additional information in good faith and communicate its reconsideration decision. This process does not limit any rights the client may have under applicable law.

13. Currency and Payment Processing

Baritex's consultation prices are denominated in United States Dollars (USD).

Payments may be processed through third-party payment providers, including Paystack and Flutterwave, subject to the payment methods available to the client at the time of purchase.

Approved refunds will normally be issued through the original payment method.

Where a payment provider, bank, or financial institution converts currencies, the amount ultimately received by the client may differ from the original amount paid due to applicable exchange rates, conversion charges, bank charges, or third-party processing arrangements.

Baritex does not control the processing time or exchange rate applied by a payment provider or financial institution.

14. What Happens After a Refund?

Once a refund is approved and processed, the relevant consulting engagement will be terminated.

Any remaining sessions, support, follow-up services, or other benefits associated with the refunded engagement will cease.

Where the engagement included customized materials, research, analysis, frameworks, or other proprietary deliverables created specifically for the client, continued use of those materials may be subject to the applicable consulting agreement, intellectual property rights, confidentiality obligations, and other applicable terms.

15. No Double Recovery

A client may not receive more than one refund, credit, compensation, or other financial remedy for the same service or substantially the same issue.

Where Baritex has already provided a refund, credit, replacement service, rescheduled consultation, or other agreed remedy, Baritex may take that remedy into account when considering any subsequent request relating to the same engagement.

16. Governing Law and Disputes

This Policy shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria, except to the extent that mandatory laws applicable to a client in their jurisdiction provide otherwise.

The parties will first seek to resolve any dispute relating to this Guarantee through good-faith communication.

Subject to applicable law, any dispute that cannot be resolved amicably shall be submitted to the courts of competent jurisdiction in Nigeria.

Nothing in this section limits any mandatory rights or remedies that a client may have under applicable consumer-protection laws in their jurisdiction.

17. Your Statutory Rights

This Guarantee is an additional commitment provided by Baritex. It does not replace, restrict, or waive any refund, cancellation, consumer protection, statutory guarantee, or other rights that cannot lawfully be excluded or limited.

Where applicable law provides rights that are more favourable to the client than this Policy, those rights will continue to apply. This Policy should be read together with Baritex's Terms of Use, Refund Policy, Privacy Policy, Acceptable Use Policy, and any applicable consulting agreement or engagement terms.

18. Our Commitment

We created this Guarantee to give clients confidence when investing in professional guidance from Baritex.

If you genuinely participate in your 1:1 Career Consultation or 1:1 Business Consultation and reasonably believe that the service did not provide sufficient value for your investment, we want to hear from you.

We will review eligible requests fairly and in good faith.

At the same time, because our consulting services involve dedicated professional time and customized work, this Guarantee is designed to protect genuine clients while preventing fraudulent, unreasonable, or abusive refund claims.
